not surprised to find this. several years ago marcia advised my former firm regarding a transaction. won’t be specific but her advice was predicated on whether the sec was enforcing a particular rule. she didn’t factor in the consequences to us of our breaking the law. just didn’t seem to register with her that the officers of the company could be held criminally liable for acting in the manner she was advising. we retained a different law firm but the delay nearly cost us the transaction.
